Free Website Subscription Terms & Conditions

These Terms & Conditions apply to all customers who purchase a StartUp Website subscription from NX Digital.

By subscribing to one of our StartUp or Seller Website plans, you agree to be bound by these Terms.

​

These Terms should be read alongside our Privacy Policy and Website Terms of Use.

The service

Our Free Website plans are designed to provide an affordable way for businesses to launch and maintain a professional website.

​

Each plan includes:

• Website design and setup

• Website hosting

• Domain registration or transfer (where applicable)

• SSL certificate

• Ongoing maintenance

• Security monitoring

• Website updates within your monthly design allowance

• Email and WhatsApp support

• Basic on-page SEO

• Access to additional joined-up business services where required

Minimum term

All Website subscriptions have a minimum commitment of 12 months.

​

Subscription payments are collected monthly by Direct Debit through GoCardless.

​

After the initial 12-month term, your subscription will continue on a rolling monthly basis until cancelled.

​

Monthly payments

Payments are collected on or around the 1st day of each month using Direct Debit.

​

You are responsible for ensuring sufficient funds are available on the collection date.

​

Missed payments

Where a payment is unsuccessful, GoCardless will attempt to collect payment in accordance with its collection process.

• If payment remains outstanding after seven days, NX Digital will contact you to resolve the issue.

• If payment or contact has not been received within a further seven days, your website will be marked for deactivation.

• If payment remains outstanding after a total of 28 days from the original payment date, your website and associated services may be suspended until the account is brought up to date.

Continued non-payment may result in termination of the agreement.

​

Early cancellation

You may cancel your subscription at any time.

If cancellation occurs during the initial 12-month minimum term, the remaining monthly payments due for that initial term will become immediately payable.

Once any outstanding balance has been settled, the agreement will end.

Cancellation after the minimum term

After the initial 12-month term, you may cancel your subscription at any time by notifying us in writing.

No notice period applies.

No further monthly payments will be collected after cancellation has been processed.

Website ownership

The website created as part of your subscription belongs to you.

Your monthly subscription is payment for the hosting, maintenance, support and ongoing services provided by NX Digital. It is not a finance agreement, repayment plan or credit agreement for the website itself.

Upon cancellation, including where an agreement ends following payment of any applicable early termination charges, you may request:

• Transfer of your website.

• Transfer of your domain name where managed by NX Digital.

• Deletion of the website.

• Secure archiving of the website for possible future reactivation.

Where a transfer is requested, NX Digital will provide reasonable assistance in transferring ownership of the website and domain.

​

Any hosting, maintenance, updates, support or related services provided by NX Digital end once the transfer has been completed.

​

NX Digital does not charge a fee to transfer ownership of your website or domain following cancellation. However, you will become responsible for any ongoing costs associated with your chosen hosting provider, domain registrar or other third-party services once the transfer has been completed.

Design allowance

Each subscription includes a monthly allowance for design changes as specified by your chosen plan.

This allowance:

• Applies only to the current calendar month.

• Does not roll over.

• Cannot be exchanged for credit or refunds.

You may submit as many requests as you wish.

​

Where the requested work exceeds your monthly allowance, we will provide a quotation before carrying out any additional work.

​

Scope of included work

The monthly design allowance is intended for routine website improvements, content updates and minor design changes.

It does not include:

• Complete website redesigns.

• Redevelopment onto a different template or platform.

• Major structural changes beyond the scope of your plan.

​

Where a complete redesign is requested, we will provide a quotation for a bespoke website project.

​

Products and services limits

Where plans include limits on the number of products or services, these limits relate only to the content professionally added, optimised and published by NX Digital during the initial website setup.

​

You may add additional products or services yourself at any time using your website's content management system.

​

Your responsibilities

To enable us to complete your website efficiently, you agree to provide:

• Business information.

• Branding and logos.

• Images where required.

• Product or service information.

• Any written content or sufficient notes for us to prepare content on your behalf.

• Timely approvals and responses.

​

Delays in providing information may delay the launch of your website.

​

Subscription payments continue during these delays and do not extend the minimum term.

​

Website launch

Estimated launch times are based on the prompt provision of all required information, branding, content and approvals.

Launch dates are estimates only and cannot be guaranteed.

Content

You retain ownership of the content you provide, including your branding, logos, photographs and written material.

​

NX Digital retains ownership of its templates, workflows, systems, development processes and other intellectual property used in creating your website.

​

Nothing within these Terms transfers ownership of NX Digital's proprietary systems or reusable design framework.

​

Search engine optimisation

Your subscription includes basic on-page SEO, including page titles, meta descriptions and other standard website optimisation.

Search engine rankings cannot be guaranteed.

​

Additional SEO services are available separately.

​

Support

Support is available via:

• Email

• WhatsApp

• Zoom screen sharing where appropriate

​

We aim to respond to support requests within one business day during normal office hours, although response times may vary depending on workload and the nature of the request.

​

Acceptable use

NX Digital reserves the right to refuse or terminate services where a website promotes or contains content that is unlawful, misleading, discriminatory, defamatory, offensive or otherwise considered inappropriate.

​

Price reviews

The subscription price is guaranteed for the initial 12-month minimum term.

​

After the initial term, subscription prices may be reviewed annually.

​

Any changes will reflect factors including operating costs, supplier pricing, inflation and the ongoing development of our services.

We will provide at least 30 days' written notice before any price change takes effect.

​

Limitation of liability

To the fullest extent permitted by law, NX Digital shall not be liable for indirect or consequential losses arising from the use of our services.

Nothing within these Terms excludes or limits liability where such exclusion would be unlawful, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, business practices or legal requirements.

​

The latest version will always be available on our website.

​

Governing law

These Terms are governed by the laws of England and Wales.

​

Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
